In the event that a claim is made or threatened
against the BUYER to which the indemnity provided in this article applies, then
END USER shall: a) upon becoming aware of any infringement or allegations of
infringement promptly notify the SELLER of the same in writing; b) not make any
admissions as to liability or compromise or agree to any settlement without
SELLER’s prior written consent; and c) provide SELLER with full control of the
defence and settlement negotiations and provide all reasonable assistance at
SELLER’s expense in connection with any negotiations and litigation arising
from such claims.
