Non-disclosure and non-use
Recipient agrees not to disseminate or in any way disclose any Confidential Information to any person or entity,except to those of Recipient’s officers,employees and agents who both:
need to know such information for the purpose of assessment of the Proposed Transaction,
and
have previously agreed,either as a condition of employment or in order to obtain Confidential Information,to be bound by terms and conditions substantially similar to those of this Agreement.
Recipient shall be responsible for any breach of this Agreement by any of its officers,agents or employees,and Recipient agrees,at Recipient’s sole expense,to take all reasonable measures (including but not limited to court proceedings) to restrain any such person from prohibited or unauthorized disclosure or use of the Confidential Information.
Recipient further agrees not to use Confidential Information for its own benefit,for the benefit of any third party,or for any purpose other than assessment of the Proposed Transaction.
Recipient agrees to treat Confidential Information with at least the degree of care that it accords its own Confidential Information,and Recipient represents that it exercises reasonable care to protect its own Confidential Information.
Recipient will immediately give notice to BERG Toys of any unauthorized use or disclosure of Confidential Information,and Recipient shall assist BERG Toys in remedying any such unauthorized use or disclosure of Confidential Information.
Recipient agrees that,without the prior written consent of BERG Toys,Recipient will not disclose to any other person the fact that the Information has been made available to Recipient,that BERG Toys has contracted with Recipient for services or products,or any other aspect of the relationship between the Parties.
